In using the Trial Services, you accept that the Trial Services are available to you on a limited trial basis only, strictly to enable you to evaluate the suitability and functions of the Trial Services as a customer, free of charge, during the Period.  Trial Services includes the following features:

– Registration and log-in capabilities; and

– Some supplier portal functions including product uploads, managing supplier profile and product information.

Subject to the limited right to use the Trial Service during the Period for evaluation purposes as expressly granted under this Agreement, the organizer reserve all of right, title, and interest in and to the Trial Services, including all intellectual property rights.  No rights are granted to you other than as expressly set out in this Agreement.

In using the Trial Services, you consent to and grant to the Organiser (including its employees, servants, agents, contractors, subcontractors and representatives):

a)       the unrestricted, perpetual, worldwide, royalty-free and transferable right and license to use(and grant others the right to use) your personal data, images and videos of your products and/or services, including your logos or company brand name, worldwide without any compensation, in relation to the Trial Services;

b)       the right to transfer your personal data, images and videos of your products and/or services, including your logos or company brand name, from the FHA Mini Product Directory, of which you are already an authorized user of, to any systems or platform which owned and/or operated by the Organiser, as may be required to provide the Trial Services, including the “Saladplate” marketplace platform;and

c)       reproduce, broadcast, copy, exhibit, publish, distribute or otherwise use your business information, images or videos of your products and/or services for sales, marketing, promotional and public relations activities in relation to the Trial Services, including the “Saladplate” marketplace platform.

All Trial Services are provided “as is” and no representations or warranties, or other terms of any kind are given in respect of the Trial Services, and all statutory warranties and conditions are excluded to the fullest extent possible under applicable laws. 

Save for death or personal injury caused by the Organiser’s negligence, the Organiser shall have no liability of any kind in any circumstances whatever, to you in respect of the Trial Service.  In particular, the Organiser shall have no liability in any circumstances whatever, for any loss or corruption of data in connection with the Trial Service, and you agree that you have sole responsibility for safeguarding such data.

The Organiser reserves the right to supplement or amend these terms and conditions or impose additional terms in relation to your use of the Trial Services.  

This agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of Hong Kong (without regard to conflict of law principles thereof).  Each party irrevocably agrees to submit to the exclusive jurisdiction of the Hong Kong courts to settle any dispute or claim arising out of or in connection with this agreement.
